Counterpart Business

Terms of Service

Effective October 19, 2026

These terms apply to your use of the Counterpart Business app and this website (together, "Counterpart"). By creating an account or using Counterpart, you agree to them. If you use Counterpart on behalf of a business, you confirm you're allowed to accept these terms for that business.

Your account

Connecting with other businesses

You connect with another business only by sharing or entering an invite code. Anything you send inside a connection, including messages, invoices, meeting requests, proposals and contracts, is visible to that business. Only share your invite code with businesses you want to work with, and disconnect from any business at any time.

Invoices, payments and signatures

Acceptable use

Don't use Counterpart to:

We may suspend or remove accounts that break these rules.

Your content

You own the content you create in Counterpart. You give us permission to store, process and display it only as needed to run the service, for example to show your messages to the business you sent them to. How we handle your information is described in the Privacy Policy.

Ending your account

You can delete your account anytime in the app under Account → Delete account. This permanently deletes your data, including what you've shared with connected businesses, as described in the Privacy Policy. Keep your own copies (for example, invoice PDFs) of anything you need for your records.

The service

Counterpart is provided "as is" and "as available". We work to keep it reliable, but we don't promise it will always be available, error-free, or that data will never be lost. Features may change over time, and during beta testing (such as TestFlight) things may break more often.

Limitation of liability

To the extent the law allows, Counterpart and its developer aren't liable for indirect, incidental or consequential losses, lost profits, unpaid invoices, or disputes between you and other businesses. Nothing in these terms limits rights you have under consumer protection laws that can't be waived.

Apple

If you downloaded Counterpart from the App Store, these terms are between you and Counterpart's developer, not Apple. Apple has no obligation to provide support or maintenance for the app, and Apple's standard Licensed Application End User License Agreement also applies.

Changes

We may update these terms. If we make significant changes, we'll update this page and the effective date, and note it in the app. Continuing to use Counterpart after changes means you accept them.
